These Terms & Conditions ("Terms") govern your access to and use of the Shopally software, websites and applications (together, the "Service"). By creating an account, ticking the box at signup, or using the Service, you agree to these Terms on behalf of yourself and the business you represent ("you"). If you do not agree, do not use the Service.

1. The Service

Shopally provides web-based back-office administration and a sales & ordering application for retail and food businesses, including inventory, purchasing, customers, reporting and related features. We may add, change or remove features over time.

2. Eligibility and accounts

You must be at least 18 years old and able to enter into a binding contract.
You are responsible for the accuracy of the information you provide and for all activity under your account and the accounts of users you create.
You are responsible for keeping login credentials confidential. Notify us promptly of any unauthorised use.

3. Subscriptions, billing and cancellation

Paid plans are billed in advance on a recurring monthly or yearly cycle through our third-party payment providers. Prices are shown at signup and in your workspace.
Your subscription renews automatically until cancelled. You may cancel at any time from your workspace; access continues until the end of the paid period, after which it stops. Fees already paid are non-refundable except where required by law.
If a renewal payment fails, we may suspend access after a grace period. Your data is retained during suspension and restored when payment succeeds.
We may change prices with reasonable notice; changes take effect on your next renewal.

4. Acceptable use

You agree not to misuse the Service, including by: breaking any law; infringing others' rights; uploading malware; attempting to gain unauthorised access; interfering with or overloading the Service; or reselling the Service without our written permission.

5. Your data and content

You retain ownership of the data and content you put into the Service ("Your Data"). You grant us a limited licence to host and process Your Data solely to provide and support the Service. Our handling of personal data is described in our Privacy Policy.

6. Availability and support

We work to keep the Service available but do not guarantee uninterrupted or error-free operation. We may perform maintenance, and may suspend the Service where necessary to protect it or comply with law. Support is provided through the channels stated on our website.

7. Intellectual property

The Service, including its software, design and content (excluding Your Data), is owned by Shopally and its licensors and is protected by intellectual-property laws. These Terms grant you a non-exclusive, non-transferable right to use the Service during your subscription; no other rights are granted.

8. Disclaimers and limitation of liability

The Service is provided "as is" and "as available" without warranties of any kind, to the fullest extent permitted by law. To the maximum extent permitted by law, Shopally is not liable for indirect, incidental or consequential losses, or loss of profits, revenue or data. Our total liability arising out of or relating to the Service is limited to the amount you paid us for the Service in the twelve months before the event giving rise to the claim.

9. Termination

You may stop using the Service and cancel at any time. We may suspend or terminate your access if you breach these Terms, fail to pay, or where required by law. On termination, your right to use the Service ends; we may delete Your Data after a reasonable retention period, subject to the Privacy Policy and applicable law.

10. Changes to these Terms

We may update these Terms from time to time. If we make material changes we will take reasonable steps to notify you. Your continued use of the Service after changes take effect means you accept the updated Terms.

11. Governing law

These Terms are governed by the laws of the Republic of the Philippines, and the courts of the Philippines have exclusive jurisdiction over any dispute, without regard to conflict-of-law rules.
